1. Introduction
1.1 These are the general terms of use (‘Terms’) that apply to the Pirai Tech website and any other site, mobile application, or software program running on a web server accessed through a web browser that references or links to these Terms (‘Site’). These Terms also form part of any agreement for services or products provided by Pirai Tech Pty Ltd unless otherwise agreed in a separate written contract.
1.2 Please read these Terms carefully before using the Site or engaging our services. By accessing or using the Site, or by engaging Pirai Tech for services or products, you accept and agree to these Terms. If you do not agree to these Terms, please do not use the Site or our services.
1.3 The Site and services are operated by Pirai Tech Pty Ltd(‘Pirai Tech’, ‘us’ and ‘we’) and include information created and published by Pirai Tech and third parties (‘Content’), such as text, images, photographs, graphics, audio and video, and computer code.
2. Changes to Terms
2.1 We may change these Terms at any time. If we do, we will update the ‘Version’ and ‘Published Date’ information at the bottom of these Terms. We encourage you to regularly review these Terms as your continued access or use of the Site or engagement of our services after changes are posted will be deemed to be your acceptance of the amended Terms.
3. Creating an Account, Accessing the Site, and Engaging Services
3.1 When accessing certain parts of the Site, you may be prompted to create a username and password (‘Credentials’).
3.2 You are responsible for keeping your Credentials confidential and for all activities that occur under your account.
3.3 If you believe you have been granted access to restricted areas of the Site in error, please contact us immediately at support@piraitech.com and do not access those areas or download any restricted Content.
3.4 A binding contract for the provision of services ('Services') between you and Pirai Tech may be formed when you accept a written quote provided by us, or when we mutually agree orally or in writing for Pirai Tech to provide the Services.
4. Permissible Use and Restrictions
4.1 Pirai Tech grants you a non-exclusive, non-transferable, revocable license to access and use the Site in accordance with these Terms.
4.2 You may use the Site, Content, and our Services only for lawful purposes and in compliance with these Terms and applicable laws.
4.3 You agree not to use the Site, Content, or Services in any way that: (a) is unlawful or breaches any applicable local, national or international law or regulation; (b) infringes, misappropriates or violates anyone’s rights including intellectual property rights; (c) is offensive, harmful, inappropriate, or defamatory; (d) harvests, collects, or stores data and/or personal data of other users without authorisation; (e) attempts to copy, modify, reproduce, or create a derivative work of any Content or underlying software, except where permitted; (f) reverse engineers, decompiles or discovers the software source code of the Site or related systems (except to the extent this restriction is prohibited by applicable law); (g) interferes with or disrupts the software, networks, and cloud services which support the Site or our Services; (h) transmits any malicious software (‘malware’) such as viruses, Trojan horses, worms, spyware, ransomware, or any other harmful programs; (i) uses any automated technology (including spiders, crawlers, bots) to search or gain information from the Site unless we have given you written permission; (j) bypasses or attempts to bypass any security measures or access controls on the Site or related systems.
5. Intellectual Property
5.1 Pirai Tech Pty Ltd is the owner or the licensee of all intellectual property rights in the Site, our Services methodologies, and any Content created by us. The Site and Content are protected by copyright laws and treaties around the world. Pirai Tech retains all rights, title, and interest, including all associated intellectual property rights.
5.2 Content available on the Site may include the logos, trade names, or trademarks of Pirai Tech Pty Ltd or third parties. These are the property of their respective owners and may not be used without permission.
5.3 Your use of the Content, Site, or Services does not transfer any intellectual property rights, title, or interest to you.
You may not copy, reproduce, republish, upload, post, transmit or distribute any Content without written permission of the respective owner. Where permitted (e.g., for personal reference), you must keep all copyright and other proprietary notices intact. Modification or use of Content for any other purpose violates copyright and other proprietary rights.
5.5 If you upload content to the Site (where permitted), you grant Pirai Tech and other users of the Site a limited, perpetual, and/or irrevocable license to use, store, copy, distribute, and make it available as intended by the Site's functionality. 6. Confidentiality
6.1 Certain Content or information shared during the provision of Services may be confidential. You agree not to disclose any confidential information belonging to Pirai Tech Pty Ltd or accessed via the Site to any third party, except to authorized individuals within your organisation who have a legitimate need to know, have been advised of its confidential nature, and are bound by confidentiality obligations. Pirai Tech agrees to treat your information designated as confidential with similar care.
7. Personal Data and Privacy
7.1 Content available on the Site or information handled during Service provision may include personal data. You must handle any personal data accessed only in accordance with applicable privacy and data protection laws, including the Australian Privacy Act 1988.

8. Service Provision
8.1 Pirai Tech aims to provide Services using reasonable care and skill, in compliance with generally accepted IT industry practices and applicable laws.
8.2 Unless otherwise agreed in writing (e.g., in a specific Service Level Agreement), Services will typically be provided during standard business hours: Monday to Friday, 8:00 AM to 5:00 PM AWST, excluding Western Australian public holidays.
8.3 If materials, hardware, software licenses, or parts are required to perform the Services, these may be quoted separately or included in a service fee. We may need to purchase these items, and reasonable time spent acquiring necessary materials specifically for your service request may be chargeable.

9.2 Pirai Tech may, at its discretion, provide a refund or credit on the return of certain products within 30 days of purchase, provided the product (and its packaging, if applicable) is unopened, unused, and remains in a fully saleable condition. You are responsible for any postage, shipping, or handling costs associated with returns unless the return is due to a fault covered by warranty.

We are not responsible for the content or practices of third-party websites and links should not be interpreted as approval or endorsement by us. We have no control over the contents of those websites or resources.
10.2 You may link to our Site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link suggesting any form of association, approval, or endorsement on our part where none exists.
11. Breach of these Terms
11.1 If you breach any of these Terms, we may, in our sole discretion: (a) suspend or block your access to the Site or Services; (b) remove any content you have uploaded; (c) disclose your identity or actions to relevant third parties (like law enforcement or rights holders) if legally required or appropriate; and/or (d) take any other steps permitted by law or deemed necessary.
11.2 We exclude our liability for actions taken in response to breaches of these Terms.
11.3 You agree to indemnify, defend, and hold harmless Pirai Tech, its affiliates, officers, directors, employees, and agents against any and all claims, proceedings, losses, liabilities, damages, costs (including reasonable legal fees), fines, penalties, and expenses arising out of or in connection with your breach of these Terms or any unlawful activity conducted by you.

12.1 The Site and its Content are provided ‘as is’. While we make reasonable efforts to update information, we do not give any express or implied warranty or make any promises about the accuracy, completeness, or timeliness of the Site or Content, except as required by law.
